Quotations

Special Orders

Special orders may have extended lead times. These items can only be returned for manufacturer’s defect and only within 10 days of the original invoice. Certain special order items are non-cancelable. Other restrictions may apply depending on the manufacturer’s policies.

Sales Tax

Lite Source, Inc. is required to charge state and local tax on items sold to customers in KY, GA, IN, MI, NJ, NC, OK, WA. Changes to locations we charge sales tax may change at any time. If you are exempt from sales tax, the exemption certificate must be provided at the time of the order.

Payment Terms

For purchasers with established credit, terms are Net 30 days from date of invoice. If credit is not established, please include pre-payment by check, ACH, PayPal, Amazon or credit card. We accept American Express, Visa, or MasterCard. All payments must be in US dollars. Payments past due may accrue interest until paid in full.

Credit Balance

Customer agrees that any credit balance issued will be applied within two (2) years of its issuance. Processing of refund checks may incur an administrative fee. IF NOT APPLIED OR OVERPAYMENTS REQUESTED WITHIN TWO (2) YEARS, ANY BALANCE REMAINING WILL BE SUBJECT TO CANCELLATION AND LITE SOURCE, INC. SHALL HAVE NO FURTHER LIABILITY.

Freight Policy

FOB ORIGIN. FREIGHT IS PREPAID AND ADDED TO CUSTOMER'S INVOICE ON ALL ORDERS, unless otherwise stated, to customers’ place of business anywhere in the contiguous United States. Any extra charge incurred for additional services, such as duties, taxes, brokerage fees or special handling at the destination, must be paid by customer. If any item is backordered on an order qualifying for freight prepayment, that item will be shipped prepaid.

Domestic Shipping – Eligibility and Charges

Shipping costs on our website are calculated using standard UPS and USPS rates. Oversized items or those requiring freight shipping will incur additional freight charges, which are the responsibility of the customer. Not all products are eligible for expedited shipping or free shipping promotions. Customers requiring expedited delivery must contact Lite Source, Inc. prior to placing an order to confirm availability, shipping options, and any additional charges. Expedited shipping services (including UPS Next Day Air® and Second Day Air®) are defined by the carrier and are calculated in ‘business days’ only. Weekends and holidays are not considered transit days. Lite Source, Inc. cannot guarantee delivery dates for standard or expedited shipments and shall not be held liable for delays, lost packages, or any issues caused by carriers.

Refused Shipments

Orders refused will result in a 25% restocking fee in addition to freight charges both ways. If you would like to cancel an order after it has already shipped, accept the package and then contact us for a return authorization. UPS will make 3 attempts to deliver a package in the event the office is closed. Any returned package due to office closure will constitute a refused package. Restocking and return shipping fees will be incurred.

International Shipping – Eligibility and Charges

All international shipments require a valid Tax/VAT ID or business registration number. Each country has its own rules and regulations regarding the acceptance of imported packages. Shipping to an international address is subject to the destination country’s customs processes, and delivery dates cannot be guaranteed. The recipient is solely responsible for all applicable duties, taxes, and brokerage or handling fees. Lite Source, Inc. shall not be held liable for delays, lost packages, or any issues caused by carriers or customs authorities.

Claims

If a product was damaged in transit, please keep the packaging and note the damage on the delivery receipt and obtain an inspection report from the carrier immediately. Then, contact Lite Source, Inc. 1-800-523-0860. Damage claims must be reported to Lite Source within 3 days of delivery.

Shipping Hazardous Products

Products considered hazardous require special packaging and additional shipping and handling charges.

OSHA Hazardous Substance Product Information

If you would like a Material Safety Data Sheet before you order, you can request one by calling 1-800-523-0860 or email customerservice@litesourceinc.com. Note: MSDS sheets are not available on all products. The information and recommendations contained on the MSDS supplied by the manufacturer are considered to be accurate and reliable. Lite Source, Inc., however, makes no warranty with respect to the accuracy or reliability of the information or the suitability of the recommendations.

Fraud Protection

Online orders that are billed and shipped to different addresses will go through a second level of verification prior to shipping. You may receive an email asking for clarification on the end user of the product to ensure that recipient and the billed party are aware of each other.

Reseller Terms & Conditions

We welcome sales to other distributors and resellers. If you would like to get a specialized quote for on-going business, please email customerservice@litesourceinc.com. A credit application, current reseller certificate and minimum annual sales are required to qualify for special reseller pricing.

Return Policy

General Returns

Lite Source, Inc. will correct errors made on our part at our expense. Customers are responsible for returning items. Lite Source, Inc. cannot be held liable for lost or damaged return shipments. Items damaged due to insufficient packaging cannot be tested or credited, even if defective. If a return is lost in transit, the customer must file a claim with the carrier.

Return Authorization (RA)

All returns require a Return Authorization (RA) Number, which must be requested within 30 days of the original invoice. No returns will be accepted for invoices older than 1 year. Items returned after 30 days are subject to a 25% restocking fee. RA Numbers may be requested online, by phone (1-800-523-0860), or by fax (1-502-266-9266). Exchanges or credits cannot be processed without an RA Number. Once issued, you will receive instructions for returning items, which must be received within 30 days of the RA issue date. An RA Number does not guarantee credit. All returned items will be inspected prior to issuing any exchange or credit:

• Defective items must be tested and confirmed as defective by the manufacturer. Lite Source, Inc. facilitates the process but is not the final authority on whether a product is defective.

• Non-defective items (overstocks, surplus, or ordering errors) must be in resalable condition and may be subject to a restocking fee. Shipping charges for non-defective returns are non-refundable. Approved store credits are valid for 2 years from the date of issue.

Final Sale Items

PPE & infection prevention products are final sale. If damaged or lost in transit, contact us for replacement instructions. Special order items are final sale. They may only be returned for manufacturer defects, and replacement requests must be made within 10 days of invoice.

All Products – Manufacturer Determination

For all products sold by Lite Source, Inc., the manufacturer is the ultimate authority in determining whether a product is defective. Lite Source, Inc. facilitates returns, credits, and replacements but does not independently determine defects. Any warranty, replacement, or credit is issued only after the manufacturer confirms a defect.

Note: The average life of a bulb is an estimate only and is not a warranty.

All Heine products, including warranty items, are fulfilled from Germany. Returns are only accepted if the customer covers international shipping costs. Customers purchase Heine OEM products at their own risk, as Lite Source, Inc. cannot guarantee acceptance of returns or direct handling of warranty claims. Reporting Issues

Damaged or missing items must be reported within 3 days of delivery. Contact us toll-free at 1-800-523-0860. All return requests must be made within 30 days of receipt. Custom and special order items are non-returnable. Notify us immediately of any order discrepancies so we can correct the issue.

Return Condition Requirements

Returned merchandise must be in original factory condition, including all packaging, inserts, manuals, warranty cards, and accessories. Lite Source, Inc. reserves the right to refuse any unauthorized or incomplete returns. A 25% restocking fee applies to all authorized returns.

Limitation of Liability

Lite Source, Inc. shall not be liable for delays, lost shipments, or damages caused during return shipping, by carriers, or by customs authorities. Credit, replacement, or exchange is only issued after inspection and confirmation of defect or compliance with return conditions.

Order Acceptance

Your receipt of an order confirmation from us does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline or cancel your order (in whole or in part) for any reason. We may require additional verifications or information before accepting any order. Your order is not accepted until it is shipped. Once shipped, the order cannot be cancelled. Lite Source, Inc. is a lighting and medical parts and supply distributor, offering multiple lines to our customers. We do not warehouse in our facility all products on our site. Lite Source, Inc. may drop ship from our manufacturers and cannot control their inventory. If an item is on backorder we will inform our customers in a timely fashion when we ourselves receive that information. Lite Source, Inc. shall not be liable for any delay in or impairment of performance resulting in whole or in part from Acts of God, severe weather conditions, labor disruptions, governmental decrees or controls, insurrections, war risks, shortages, inability to procure or ship product or obtain permits and licenses, supplies or raw materials, or any other circumstances or causes beyond the control of Lite Source, Inc. in the conduct of its business.

Security Interest

On any sales on open account, the Purchaser hereby grants to Lite Source, Inc. a priority lien, purchase money security interest and/or chattel mortgage in the products and any accounts receivable or cash from resale thereof until full payment is made to Lite Source, Inc. Purchaser agrees to file any financing statements or other appropriate document with its governmental authorities to assure the validity, priority, and enforceability of the lien. Purchaser agrees to inform Lite Source, Inc. immediately if it intends to use any import financing or has or will be granting a lien or security interest on its inventory to any third party.

Assignment

Buyer shall not assign any order or any interest therein without the written consent of Lite Source, Inc. Any actual or attempted assignment without Lite Source, Inc.'s prior written consent shall entitle Lite Source, Inc. to cancel such order upon notice to Purchaser without liability to Lite Source, Inc.

Modification of Terms

Lite Source, Inc.'s acceptance of any order is subject to purchaser's assent to all of the terms and conditions of access and sale as set forth herein. Purchaser's assent to these terms and conditions shall be presumed by Purchaser's acceptance of all or any part of the goods or services ordered. All other contrary terms and conditions are expressly rejected, and no addition or modification of terms and conditions shall be binding upon Lite Source, Inc. unless agreed to by Lite Source, Inc. in writing.

Independent Contractors

Lite Source, Inc. and Purchaser are independent contractors. Purchaser is not authorized to and shall not make any representations on behalf of which are binding upon Lite Source, Inc.

Separability

If any provision of these Terms and Conditions of Sale shall be deemed illegal or unenforceable, such illegality or unenforceability shall not affect the validity and enforceability of any other legal provisions hereof which together shall then be construed as if such illegal and unenforceable provision or provisions had not been inserted herein, unless such illegality or unenforceability shall destroy the underlying business purpose of these Terms and Conditions.

Complete Agreement

The terms and conditions in Lite Source, Inc.'s web site Terms and Conditions, Terms of Access, Terms of Sale, Quotations, Invoices, and Catalog Sales Terms and Conditions, are incorporated herein by reference and constitute the entire and exclusive agreement between Purchaser and Lite Source, Inc.

Submissions

All remarks, suggestions, ideas, graphics or other information communicated to Lite Source, Inc. through this site will forever be the property of Lite Source, Inc. Unless specifically agreed to in writing in advance of any submission, Lite Source, Inc. will not be required to treat the information as confidential. Lite Source, Inc. shall have exclusive ownership of all present future existing rights in the information, without compensation or other obligation of any nature to the person sending the information.

Lite Source, Inc. reserves the right to revise these terms and conditions at any time without prior notice.
